Welcome to ImmigraForms. These Terms of Service ("Terms") govern your access to and use of the ImmigraForms website (immigraformsoftware.com), web application (app.immigraformsoftware.com), and all related services (collectively, the "Service"). By accessing or using any part of ImmigraForms, including browsing our website or creating an account, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account or using ImmigraForms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Service, including immigration attorneys, law firms, and their authorized staff members.

2. Service Description

ImmigraForms provides a software platform designed to help immigration law professionals streamline the completion of immigration forms. Our Service allows you to:

• Input client information once and automatically populate multiple forms
• Store and manage client data securely
• Generate, review, and export completed immigration forms
• Access form templates and updates

ImmigraForms is a tool to assist legal professionals. It does not provide legal advice, and users remain solely responsible for the accuracy and completeness of all forms submitted to immigration authorities.

3. User Accounts and Registration

To use ImmigraForms, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality and security of your account credentials
• All activities that occur under your account, whether authorized by you or not
• Notifying us immediately of any unauthorized access, security breach, or suspected compromise
• Ensuring that your account information remains current and accurate
• Using strong passwords and enabling any available security features
• Not sharing your account credentials with anyone

You are solely liable for any unauthorized use of your account. We are not responsible for any loss or damage arising from unauthorized access to your account, whether due to stolen credentials, phishing attacks, or any other means. You agree to immediately notify us of any security breach and cooperate with any investigation.

You must be at least 18 years old and legally authorized to practice immigration law or work under the supervision of a licensed attorney to use our Service.

4. Subscription and Payment

ImmigraForms operates on a subscription basis. By subscribing, you agree to:

• Pay all applicable subscription fees according to your selected plan
• Automatic renewal of your subscription unless cancelled before the renewal date
• Provide valid payment information and authorize us to charge your payment method
• Pay any applicable taxes in addition to subscription fees

Free Trial

We offer a 14-day free trial for new users. No credit card is required to start your trial. At the end of the trial period, you will be prompted to select a paid plan. If you do not select a plan, your access to the Service will be limited.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access to the Service until the end of your current billing period
• No refunds will be provided for partial billing periods
• Your account and data will remain accessible for 30 days after the end of your billing period
• After 30 days, your account and all associated data will be permanently deleted unless you reactivate your subscription
• We recommend saving or documenting any critical information before your account is deleted

We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect your current subscription period but will apply upon renewal.

5. Acceptable Use

You agree to use ImmigraForms only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Share your account credentials with unauthorized individuals
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to compete with ImmigraForms or create a similar product

6. Intellectual Property

ImmigraForms and all related content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

You retain all rights to the client data and information you input into the Service. By using ImmigraForms, you grant us a limited license to process and store your data solely to provide the Service.

7. Data Security and Privacy

Security Measures

We implement commercially reasonable technical and organizational security measures to protect your data, including encryption, access controls, and secure data storage. However, no method of transmission over the Internet or electronic storage is 100% secure. We cannot and do not guarantee absolute security of your data.

Data Loss and Availability

While we strive to maintain high availability and perform regular backups, we are not responsible for any data loss, corruption, or unavailability of the Service, whether caused by:

• Technical failures, server outages, or system malfunctions
• Cyber attacks, security breaches, or unauthorized access
• Natural disasters, force majeure events, or third-party service failures
• Software bugs, errors, or updates
• User error, accidental deletion, or misuse of the Service

Data Backups and Recovery

We perform regular backups of data stored in our Service as part of our standard operations. However, we do not guarantee successful data recovery in all circumstances. While we make commercially reasonable efforts to maintain data integrity and availability, we are not liable for any loss of data or inability to recover data for any reason, including but not limited to:

• Backup system failures or corruption
• Data that was deleted or modified before the most recent backup
• Catastrophic events affecting multiple data centers or backup locations
• Limitations in backup retention periods

We strongly recommend that you maintain copies of critical client information outside of our Service(such as in your own files or case management system) as an additional precaution. We are not responsible for any consequences resulting from data loss, regardless of cause.

Security Breaches

In the event of a security breach or unauthorized access to your data, we will make reasonable efforts to notify you in accordance with applicable law. However, we are not liable for any damages, losses, or consequences resulting from unauthorized access, data breaches, or security incidents, including but not limited to identity theft, privacy violations, or disclosure of confidential client information.

Privacy Compliance

Our collection and use of personal information is governed by our Privacy Policy. You are solely responsible for complying with all applicable privacy laws (including GDPR, CCPA, and attorney-client privilege requirements) and obtaining necessary consents from your clients before entering their information into our Service. You acknowledge that you are the data controller and we are merely a data processor.

8. Professional Responsibility

ImmigraForms is a tool to assist legal professionals, not a substitute for professional judgment. You acknowledge that:

• You are solely responsible for reviewing all forms for accuracy and completeness
• You must verify that all information is current and correct before submission
• You remain responsible for compliance with all professional and ethical obligations
• ImmigraForms does not provide legal advice or guarantee form acceptance by authorities
• You must stay informed of changes to immigration laws and form requirements

9. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IMMIGRATION OUTCOMES: IMMIGRAFORMS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR SUITABILITY OF FORMS GENERATED THROUGH THE SERVICE. WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN SUCCESSFUL IMMIGRATION APPLICATIONS, APPROVALS, OR ANY PARTICULAR OUTCOME. WE ARE NOT RESPONSIBLE FOR ANY IMMIGRATION DENIALS, DELAYS, REJECTIONS, OR ADVERSE DECISIONS BY IMMIGRATION AUTHORITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMMIGRAFORMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR CLAIMS BY YOUR CLIENTS OR THIRD PARTIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ImmigraForms and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs) arising from or related to:

• Your use or misuse of the Service
• Any violation of these Terms
• Any violation of applicable laws or regulations
• Infringement of any third-party rights, including intellectual property rights
• Claims by your clients or third parties arising from immigration forms, applications, or legal matters in which you used the Service, including but not limited to denied applications, delayed processing, incorrect information, or any adverse immigration outcomes
• Any breach of your professional duties or ethical obligations to your clients
• Any data you input into the Service or forms you generate using the Service

This indemnification obligation will survive termination of these Terms and your use of the Service. You acknowledge that ImmigraForms is not a party to the attorney-client relationship between you and your clients and has no liability for the legal services you provide.

11. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Any conduct that we determine to be harmful to the Service, other users, or our business interests

Upon termination for cause, you will not be entitled to any refund of prepaid fees. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of ImmigraForms after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and ImmigraForms
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our consent; we may assign them freely
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
